Terms of Service

1. Acceptance

By using koino.capital, requesting a quote, receiving a call or message from us, or using any service we operate (including RepFlow and the Koino Capital Insurance Agency), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the services.

2. The services

We provide:

• Marketing and informational pages at koino.capital and related subdomains.
• Insurance brokerage services through the Koino Capital Insurance Agency (where licensed).
• The RepFlow software platform for insurance agencies and their sales reps.
• AI-powered phone, SMS, and email communications, including outbound dialing, voicemail drops, and AI assistants that may speak on our behalf.

3. Consent to be contacted (TCPA)

By submitting your phone number or email through any form on this website, by replying to a message we send you, or by giving your number to a licensed agent of ours, you give prior express written consent under the Telephone Consumer Protection Act (TCPA) for KOINO Capital and its agents to:

• Place calls to your number, including using automated technology and pre-recorded or AI-generated voices.
• Send you SMS or iMessage messages.
• Send you email.

Consent is not a condition of purchase. You can revoke consent at any time using the opt-out methods below.

4. SMS / iMessage program terms

• Program: KOINO Capital sales and account messaging.
• Frequency: Variable. Typically fewer than 10 messages per month per recipient. Frequency increases when you are actively quoting or onboarding.
• Cost: Message and data rates may apply. We do not charge for messages; your carrier may.
• Help: Reply HELP to any of our messages for assistance, or email sms@koino.capital.
• Opt-out: Reply STOP to cancel. You will receive a confirmation and no further marketing messages.
• Carriers: AT&T, T-Mobile, Verizon, US Cellular, and others. Carriers are not liable for delayed or undelivered messages.

5. Call recording

Calls between you and us may be recorded for quality, training, compliance, and dispute-resolution purposes. In two-party-consent states (CA, CT, FL, IL, MD, MA, MT, NV, NH, PA, WA), we play a verbal disclosure at the start of the call. By continuing the call past the disclosure, you consent to recording.

6. AI agents

Some calls and messages are handled by AI agents on our behalf. AI agents identify themselves as non-human when they answer a call. AI agents may schedule appointments, answer questions, take messages, and route you to a human agent. Final purchasing decisions involving insurance products are reviewed and bound by a licensed human agent.

7. Acceptable use

You agree not to:

• Use the services to violate any law or regulation.
• Submit false or misleading information (including someone else's phone number) to receive communications.
• Interfere with the operation of the services (scraping, denial-of-service, reverse engineering APIs we did not publish).
• Use AI agents we operate to generate harmful, defamatory, illegal, or harassing content.
• Resell, sublicense, or rebrand our services without a written agreement.

8. Insurance services

Insurance brokerage services are provided through Koino Capital Insurance Agency, a licensed insurance producer in the states where it holds active licenses. Quotes are estimates; binding rates are issued only by the insurance carrier after underwriting. Coverage is governed by the policy issued by the carrier, not by anything we say in marketing materials.

9. RepFlow software

If you or your agency subscribes to a KOINO automation service, the order form or Master Services Agreement may include service-specific billing, data-processing, uptime, delivery, and remedy terms. Those terms are provided at checkout or signup; nothing on this page overrides the Refunds and Cancellations Policy or a more specific signed order.

10. Intellectual property

The website, brand, AI agent designs, and software are owned by KOINO Capital and protected by US and international copyright, trademark, and other laws. You may not reproduce or distribute them without permission, except for ordinary browsing and quoting with attribution.

11. Disclaimers

The services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. AI agents make mistakes; we encourage you to verify important details with a human.

12. Limitation of liability

To the maximum extent permitted by law, KOINO Capital and its affiliates, officers, employees, and agents are not liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the services. Our aggregate liability for any direct damages is limited to the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater. Nothing in this section limits liability that cannot be limited under applicable law (gross negligence, willful misconduct, fraud).

13. Indemnification

You agree to indemnify and hold KOINO Capital harmless from claims arising out of your violation of these Terms or your misuse of the services.

14. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.

15. Changes

We may update these Terms. Material changes will be flagged on this page for at least 30 days before they take effect.
